1. Acceptance of Terms
By accessing or using any services provided by Developer Hub Productions ("DHP", "we", "us", or "our"), including but not limited to our websites, software, applications, or APIs ("Services"), you ("User", "you") agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.
2. Eligibility
To use our Services, you must be at least 18 years old or the legal age of majority in your jurisdiction. By using our Services, you affirm that you meet this requirement and that all information provided is accurate and truthful. DHP is not liable for any misrepresentation.
3. Modifications
We reserve the right to modify these Terms at any time. Material changes will require affirmative consent for continued use of premium features. We will notify users via email or prominent notice. Continued use after changes constitutes agreement.
4. User Accounts
You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. Unauthorized use must be reported immediately. You accept full liability for any use of your account, authorised or otherwise.
5. Acceptable Use
You must not:
- Use the Services for unlawful or harmful purposes.
- Reverse engineer, decompile, or bypass any part of the Services.
- Circumvent security or access measures.
- Exploit, disrupt, or abuse our Services or users.
Violations result in immediate termination and potential legal action. This is a zero-tolerance policy.
6. Intellectual Property
All content, software, and materials are owned by DHP or its licensors. You receive no ownership rights through use. You grant DHP a royalty-free, irrevocable licence to use any content or feedback you submit.
7. Payments and Subscriptions
All payments are non-refundable. Subscriptions auto-renew unless cancelled according to your billing cycle. Chargebacks without contacting support first are considered abuse and will result in termination and legal action.
8. Termination
We may terminate your access at any time for breach of these Terms. Upon termination, all rights granted to you cease, and your data may be deleted. Outstanding fees remain payable.
9. Third-Party Services
We are not liable for any content or services provided by third parties, whether integrated or embedded. Your use of third-party tools is at your own risk.
10. Disclaimer of Warranties
Our Services are provided "as is" without warranty of any kind. We do not guarantee uptime, reliability, or performance.
11. Limitation of Liability
To the fullest extent permitted by law, DHP is not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits your statutory rights under UK consumer law.
12. Indemnification
You agree to indemnify DHP, its affiliates, and staff from any claims or liabilities arising from your use of the Services or breach of these Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. All disputes are subject to the exclusive jurisdiction of UK courts.
14. Entire Agreement
These Terms, along with our Privacy Policy, constitute the complete agreement between you and DHP.
15. Anti-Abuse Clause
We enforce a zero-tolerance policy against abuse, harassment, manipulation, or legal exploitation. Violators will face immediate termination and potential legal action.
16. Force Majeure
We are not liable for failure to perform due to causes beyond our control, including but not limited to war, natural disaster, internet outages, or cyberattacks.
17. Survival
Provisions concerning intellectual property, limitation of liability, and indemnity shall survive termination.
18. Dispute Resolution & Arbitration
Any dispute or claim relating in any way to your use of the Services will be resolved by binding arbitration under the laws of England and Wales. You waive the right to participate in class actions or jury trials. The arbitration will be conducted confidentially in accordance with the Arbitration Act 1996. The arbitrator\'s decision will be final and binding. Each party will bear its own costs unless otherwise decided by the arbitrator.
19. API Usage
Use of our APIs must follow our documentation, rate limits, and authentication protocols. Abuse, scraping, or unauthorised automation is strictly prohibited and will result in termination and potential legal consequences.
20. User-Generated Content
By submitting content via our Services, you retain ownership but grant DHP a perpetual, worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to use, reproduce, distribute, display, and adapt your content in connection with our Services and promotions. You represent and warrant that you have all rights to grant this licence.
21. Vulnerability Disclosure
Security is a priority at DHP. If you identify a vulnerability, report it responsibly to [email protected]. Do not exploit or disclose it publicly. We reserve the right to recognise contributions at our discretion and may offer a reward or public acknowledgement.
22. No Waiver
No failure or delay by DHP in exercising any right or remedy provided under these Terms shall constitute a waiver. Any waiver must be in writing and signed by an authorised representative of DHP.
